These Terms of Service ("Terms") govern your use of the Quality Fiber and RF website and any quotes, orders, products, and services you obtain through the website, unless separate written terms apply. In these Terms, "QFRF," "we," "us," and "our" mean Quality Fiber and RF, Inc..
This website is intended for business customers and commercial use. Consumer purchases may be subject to additional rights under applicable law.
You accept these Terms by checking a box or otherwise indicating acceptance where that option is presented, or by using the website, creating an account, submitting a quote or RFQ, or placing an order. If you do not agree, do not use the website or place an order through it.
If a quote, order acknowledgment, invoice, credit agreement, warranty document, or other written agreement from QFRF includes different terms, that document controls for that transaction to the extent of the conflict.
1. Who may use the website
You may use the website only for lawful purposes and in compliance with these Terms. If you use the website on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
2. Website availability and changes
We may update, change, suspend, or discontinue all or part of the website at any time. We do not guarantee that the website or any content will always be available, accurate, complete, or current.
3. Accounts
If you create an account, you must keep your login credentials confidential and use reasonable care to protect them. You are responsible for activity that occurs through your account until you notify us of unauthorized use. You must promptly tell us if you believe your account has been compromised.
We may suspend or disable an account if we reasonably believe it has been misused, compromised, or used in violation of these Terms.
4. Quotes, orders, pricing, and payment
All quotes, product availability, specifications, and lead times are subject to change unless we confirm them in writing. A submitted order is only a request to buy. We accept an order only when we send written confirmation or ship the order, whichever happens first.
We may correct typographical, pricing, specification, or availability errors at any time, including after a quote or order request is submitted. If a material error affects your order, we may contact you with corrected terms and available options.
Unless a quote states otherwise, quotes are valid only for the period stated in the quote. Unless we approve credit terms in writing, payment is due before shipment. If we extend credit, we may change, suspend, or revoke credit terms based on credit review, payment history, account status, or other reasonable business factors.
You are responsible for taxes, duties, shipping charges, brokerage, and similar amounts unless we state otherwise in writing. If an invoice, credit agreement, or other written term allows interest, late fees, collection costs, or similar charges, those charges may apply to overdue balances to the extent permitted by law.
We may refuse or cancel a quote, order, or transaction that cannot be completed lawfully or that does not satisfy our compliance, fraud-prevention, credit, or operational review.
5. Shipping and delivery
Our Shipping Policy explains order processing, carriers, delivery estimates, risk of loss, freight shipments, and international shipping. Shipping and delivery dates are estimates unless we specifically commit to a shipment date in writing.
If we cannot ship within the time we stated, we may give you a revised estimate, offer a substitute if you agree, or offer cancellation or refund as required by law or the applicable order terms.
6. Returns, cancellations, and refunds
Our Return and Refund Policy explains when returns, replacements, credits, and refunds may be available. Returns require prior authorization from QFRF. Certain items, including custom, special-order, made-to-order, discontinued, used, or otherwise restricted items, may be non-cancelable or non-returnable.
If these Terms conflict with the Return and Refund Policy or specific written order terms, the more specific written terms control.
7. Product information and technical guidance
Product descriptions, specifications, reference designs, compatibility information, and technical guidance are provided for general information. Final responsibility for system design, product selection, code compliance, permitting, environmental suitability, installation, testing, and maintenance rests with you and your installer, engineer, or integrator.
Unless we expressly agree otherwise in writing, we do not guarantee that a product or recommendation will be suitable for your specific network, building, site, or deployment. Improper handling, storage, installation, or use may void warranties and may create safety, compliance, or performance issues for which we are not responsible.
8. Export compliance and international orders
Orders and shipments are subject to United States export laws, sanctions, and other trade restrictions. We may refuse, hold, or cancel any quote, order, shipment, or transaction if we believe it would violate applicable law or our compliance requirements, involve a restricted destination, party, or end use, or require information or approvals that are not provided.
Unless we agree otherwise in writing, you are responsible for import compliance in the destination country, including permits, product approvals, taxes, duties, brokerage, customs documentation, and other destination-country requirements on your side.
9. Intellectual property
The website and its content, including text, images, graphics, downloads, documentation, specifications, software, videos, and branding, are owned by QFRF or its licensors and are protected by applicable law.
Except as expressly allowed in writing, you may not copy, reproduce, distribute, republish, scrape, data-mine, frame, modify, or use website content for resale, competitive analysis, aggregation, or model training.
10. Prohibited conduct
You may not: (a) violate any law or third-party right; (b) misrepresent your identity or affiliation; (c) interfere with the website or its security; (d) introduce malicious code; (e) attempt unauthorized access to systems, data, or accounts; (f) use bots, scrapers, or other automated tools to extract content unless we expressly allow it; or (g) use the website in a way that could harm QFRF, our customers, suppliers, or service providers.
11. Warranties and warranty disclaimer
Products are covered only by applicable manufacturer warranties unless QFRF expressly states otherwise in writing.
Except for any express written warranty provided by QFRF or the applicable manufacturer, the website, products, services, technical information, and other materials are provided "as is" and "as available."
To the fullest extent permitted by law, QFRF disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranties arising from course of dealing, usage of trade, or course of performance.
We do not guarantee that the website will be uninterrupted, secure, or error-free, or that product information will always be complete, current, or suitable for your application.
12. Limitation of liability
To the fullest extent permitted by law, QFRF will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, savings, data, goodwill, business opportunity, or business interruption, arising out of or relating to the website, products, services, or these Terms.
To the fullest extent permitted by law, QFRF's total liability for a claim arising out of or relating to a specific product or service will not exceed the amount you paid QFRF for that product or service.
Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Indemnification
You agree to defend, indemnify, and hold harmless QFRF and its officers, directors, employees, agents, affiliates, and service providers from third-party claims, losses, liabilities, damages, and reasonable attorneys' fees arising out of your unlawful use of the website, your misuse or improper installation of products, your violation of these Terms, or your violation of law.
14. Suspension and termination
We may suspend or terminate your access to the website, your account, or your ability to place orders if we reasonably believe you violated these Terms, created risk for QFRF or others, failed to pay amounts due, or acted in a way that conflicts with our legal obligations or reasonable business practices.
15. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Subject to applicable law, disputes relating to these Terms, the website, or a transaction with QFRF must be brought in the state or federal courts located in Florida, and each party consents to that forum.
If mandatory consumer-protection law gives you rights that cannot be waived by contract, this section does not override those rights.
16. Privacy
Your use of the website is also subject to our Privacy Policy.
17. Changes to these Terms
We may update these Terms by posting a revised version on the website and updating the Last Updated date. Changes apply prospectively after they are posted unless we say otherwise. The version in effect when we accept your order or enter into a specific written transaction controls that transaction unless the parties agree otherwise in writing.
Your continued use of the website after revised Terms are posted means you accept the updated Terms for future use of the website.
